Employee Intellectual Property Agreement
The agreement should also include a termination clause that obliges the worker to transfer inventions or ideas designed for a post-employee period. These „trailer“ clauses protect against the fact that the worker withholds his invention until immediately after his separation from the employment relationship, in order to illegally maintain ownership of the invention. While there are no decisions from Oregon directly to the point, the trailer clauses have been analogous to non-compete clauses, so the duration of the trailer should certainly not exceed the allowed non-compete rules. Employers should also ensure that the written agreement complies with existing national legislation.
